1. This Appendix/Agreement is intended by the Parties to provide part-specific CRP-business terms with respect to Seller’s Goods as identified in the Detail of Goods Schedule (“Schedule”), ordered by Buyer.
2. Seller intends to support the SMI Program through a Supplier Product Distribution Center (“PDC”) located at __Shanghai Waigaoqiao bonded warehouse____. The Replenishment Cycle Time, defined as the time from Buyer’s order for Goods to Seller’s actual delivery of Goods to Buyer’s stock or production floor, is 4 hours.
3. Supplier is responsible for managing the PDC and ensuring its compliance with the terms of the Parties’ SMI Agreement (if applicable), and this Appendix.
4. General:
a. Title Transfer Points: Receipt at Buyer’s designated dock.
b. Goods shall be delivered per the Incoterms 2000 identified in the Schedule.
c. Buyers shall provide Supplier with a weekly forecast of its requirements for Goods (“Forecast”), through a mutually agreed upon method of communication. Supplier shall notify Buyer of its inability to meet or any objection(s) to the Forecast no more than two (2) business days following receipt thereof. Seller’s failure to object or notify Buyer of its inability to meet the Forecast within such period of time shall be deemed an acceptance of the Forecast by Supplier. Based on weekly Forecast changes, the Supplier shall review its production starts and materials plan to minimize Buyer’s potential exposure to liability, if any.
